Actsurance Terms of Service

Welcome to Actsurance. These Terms of Service ("Terms") govern your access to and use of the Actsurance platform, API, and related services (the "Services").
By accessing or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization.
1. Description of Service
Actsurance provides an authority control plane and cryptographic execution layer for AI agents. We intercept agent requests, validate them against your hardcoded policies, and generate tamper-evident cryptographic receipts.
Our Promise: We deliver mathematical proof of what your agent executed.
Your Responsibility: You remain entirely responsible for the underlying logic of your agent, the accuracy of the policies you configure in Actsurance, and the ultimate business outcome of the actions your agent takes.
2. Account Registration and Security
You must register for an account to use the Services. You are responsible for maintaining the confidentiality of your API keys and account credentials.
- You must immediately notify us of any unauthorized use of your account.
- Actsurance will not be liable for any loss or damage arising from your failure to safeguard your credentials.
3. Acceptable Use and Restrictions
You agree to use Actsurance in compliance with all applicable laws and regulations. You shall not:
- Use the Services to facilitate illegal, harmful, or malicious activities.
- Attempt to bypass, disable, or interfere with our security features or cryptographic signing mechanisms.
- Reverse engineer, decompile, or attempt to extract the source code of the Services.
- Use the Services to process highly regulated data (such as protected health information) unless you have executed a specific Business Associate Agreement (BAA) or equivalent specialized contract with us.
4. Data Processing and Privacy
Our handling of your data is governed by our Privacy Policy. When using Actsurance to process personal data of your end-users, both parties agree to comply with applicable data protection laws (e.g., GDPR, CCPA). If required, we will enter into a separate Data Processing Agreement (DPA) with your organization.
5. Intellectual Property
Actsurance IP: We retain all rights, title, and interest in and to the Services, including all underlying software, cryptographic methodologies, and brand assets.
Your IP: You retain all rights to the custom policies you write, the data you transmit to us, and the specific applications you build using our Services.
6. Service Availability and Support
We use commercially reasonable efforts to maintain the availability of our execution gateways. The Services are provided on an "AS IS" and "AS AVAILABLE" basis. During our Private Rollout phase, scheduled maintenance and updates may occur. We will make reasonable efforts to notify you of major disruptions.
7. Limitation of Liability
Actsurance operates as a security gateway, not as a guarantor of your business logic.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACTSURANCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICES.
Our total aggregate liability arising out of or relating to these Terms is limited to the amount paid by you for the Services in the 12 months preceding the event giving rise to the liability.
8. Indemnification
You agree to indemnify and hold Actsurance and its officers, directors, and employees harmless from any claims, damages, or legal expenses arising from:
- Your violation of these Terms.
- The actions executed by your AI agents (even if signed and verified by Actsurance, provided the verification matched your configured policy).
- Your violation of any third-party rights or applicable laws.
9. Termination
You may terminate your account at any time. We reserve the right to suspend or terminate your access to the Services immediately if we reasonably believe you have violated these Terms, pose a security risk to our infrastructure, or have failed to pay outstanding fees.
Upon termination, your right to use the API will immediately cease, and we will delete your configuration data in accordance with our Privacy Policy.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Actsurance is incorporated, without regard to its conflict of law provisions. Any disputes shall be resolved in the exclusive jurisdiction of those courts.
11. Changes to Terms
We may modify these Terms periodically. If we make material changes, we will notify you via email or through the platform before the changes take effect. Your continued use of the Services constitutes acceptance of the updated Terms.
